Avoid the Wells Fargo Mistakes

Culture and incentive issues appear to have caused the troubles at Wells Fargo. Details are still unfolding, but what we know is approximately 5,300 employees were fired and Wells Fargo must pay $185 million in fines to the US government for employees opening new accounts illegally, without customer knowledge.

How could this have gone on for years, and affect so many people? The only answer can be in the culture that developed within Wells Fargo caused by employee incentives to open new accounts.

It is common in financial institutions to create incentives for new accounts, encouraging employees to get new deposits, or new loan accounts. What I surmise happened for it to be so pervasive and affect so many people, is a culture of performance-over-all that developed, pressuring employees to open new fictitious accounts in order to meet performance quotas, incentive compensation targets, or avoid punishment. Instead of balancing performance, risk and compliance, the emphasis on performance trumped the other two.

In a short-term attempt to meet performance quotas, Wells Fargo jeopardized its reputation with its customers, regulators, and shareholders. It did not practice Principled Performance – the reliable achievement of objectives, while addressing uncertainty and acting with integrity.

I have studied many frameworks and standards and have found two areas that seem to be missing in most relate to culture and incentives. In fact, the only one I have found that addresses these areas in detail is the OCEG GRC Capability Model.

Organizations often overlook the importance of culture; and how often, incentives are perverse … leading to behaviors not anticipated. By designing and implementing an integrated GRC capability, based on the OCEG GRC Capability Model, organizations can avoid the Wells Fargo mistakes.

Implementing GRC the Easy Way

You have probably seen the cartoon with two cavemen pulling a wagon with square wheels. A third caveman walks up to them with a round wheel and one of the cavemen pulling the wagon, turns to the third and says “No thanks, we’re too busy.”

How often are we so busy with the task at hand that we fail to see a much easier way right in front of us.

Often those charged with implementing and managing a GRC capability feel overwhelmed. They jump right into the process they were asked to create and feel like hamsters running on a wheel. Implementing a GRC capability can be difficult when you are trying to re-create the wheel.

Instead of pulling the wagon with square wheels, or creating a new wheel, wouldn’t it be nice to find something already available?

The OCEG GRC Capability Model is the wheel many GRC professionals are looking for to help them reduce the spinning hamster wheel syndrome.

I found out about OCEG when I was the Chief Audit Executive (CAE), Chief Ethics & Compliance Officer (CECO) and Chief Risk Officer (CRO) at one of my previous companies. The information I gained from OCEG allowed me to develop and implement an effective ethics and compliance program, which eventually expanded into a more integrated approach to governance, risk management, and compliance (GRC). It allowed us to utilize an established framework and approach to GRC that was developed by the organization that invented GRC. It provided me with the resources, information, and messaging necessary to help me successfully implement a GRC capability.

Since implementing the model at a previous company, I have moved on to help revise the OCEG GRC Capability Model to version 3.0, and have created a training for OCEG on how to implement a GRC capability, that also prepares people for the GRC Professional certification. The Regulators are Talking … Are You Listening?

I travel the world speaking and training on GRC and internal auditing and I have started to notice a trend in many countries. Regulators and other stakeholders are become more vocal about their expectations, and enforcement actions are increasing.

In fact, I had an interesting discussion with a recent participant in one of my GRC Professional training sessions. She is in charge of the GRC capability at her organization and had a discussion with her company’s external auditors. They were reviewing the GRC capability and asked her what qualifications she had in GRC and if she was certified. They expected the person in charge of GRC capability to be certified. A few weeks later she was at my GRC Professional course and is now certified as a GRC Professional.

I have had similar discussions with internal auditors around the world, as the regulators and other stakeholders are asking similar questions about whether internal auditors are certified. They are expecting to see that internal auditors at the organizations they regulate are Certified Internal Auditors (CIA®). I have hear this from organizations and regulators who have attended my trainings.

The Forces Awaken in the Auto Industry

One of the fundamental concepts in risk management is understanding how forces lead to events that change the business conditions. This is a fundamental step to understanding and identifying anticipated events, and changes in condition, that represent opportunities, threats or requirements to an organization.

I have watched the auto industry closely for the last year and see this industry is a great example of this concept.

Many of you are already familiar with the issues Volkswagen (VW) is facing with device defeat software it loaded onto more than 11 million vehicles, as a way to trick the emissions testing showing these VW autos met the emissions guidelines; when in fact they emitted up to 40x the amount of nitrous oxide as allowed by law. We now are learning Fiat may have done a similar thing.

Each major car company has experienced major recalls, costing hundreds of millions, if not billions of dollars. Automobile stocks seem to be stuck at low levels, even while quarterly sales numbers are rising. One reason likely is investors are concerned the car companies will have to “give back” much of their profits in fines, penalties, or product recalls. The VW case has already cost an initial $7 billion write-down, with an additional $11 billion recently, and pending litigation that could be an additional $30-$50 billion dollars. Where this will end, we do not yet know.

Some other things to consider.

Traditionally we think of the auto industry comprising traditional car companies. When most people think about car companies they think: Toyota, General Motors, Volkswagen, Ford, Fiat/Chrysler, Hyundai, etc…; but what about Google, Apple, or Tesla?

As forces continue to change, making technological advances possible may change the industry completely. Driver-less cars, electric vehicles, which once seemed like something of science fiction are now a reality. Google and Apple are working on driver-less cars, and where will the war go between the current gasoline engines versus electric powered, hydrogen or natural gas?

Tesla took in almost $10 billion worth of pre-orders for 276,000 units of its newest car, the Model 3, in just two days, according to the company’s chief executive Elon Musk per a report by The Guardian. Tesla now has close to 400,000 pre-orders for this car. A car that won’t even be available for some time.

Last year, the Toyota Camry was the best selling car in the U.S., with 429,355 vehicles sold. The Toyota Corolla was second-best selling vehicle with 363,332 shipped. The #1 selling car in the world last year was the Toyota Corolla with 1.3 million units, and #10 was the Toyota Rav4 with almost 700,000 units. That gives you a little perspective as to how large of an event it is for Tesla to sell almost 400,000 units before production has even started.

It also means Teslas has taken in almost $400 million in cash deposits, to fund future operations without the need of going to the debt or equity market. Talk about a revolutionary event in the auto industry.

The forces are definitely awakening in the auto industry, and I am not talking about Luke Skywalker, Han Solo, Rey, or the billion dollar movie from Disney.

I am talking about an industry with billions to gain for those organizations that practice Principled Performance: the reliable achievement of objectives while addressing uncertainty and acting with integrity; and, billions to lose for those that do not. Organizations that practice Principled Performance, have a much better chance of navigating through the forces, events, and changes to condition.

To be successful in today’s quickly changing context, organizations must practice Principled Performance and do a much better job of assessing forces, events and changes in conditions.

If you read this article thinking, “Whew, I’m glad I not in the auto industry” don’t relax too soon. It’s time to grab your lightsaber and prepare for what is coming.

Announcing Successful Techniques for Passing the CIA Exam Video

I have helped hundreds of people study to pass the Certified Internal Auditor (CIA®) exam. In doing that I have learned quite a few things about successful ways to study for the exam. But the thing I have learned the most is how hard the exam is to pass.

Let me say that again, the CIA® exam is HARD.

Since the exam is hard, it just means one must be dedicated to really studying and learning the information.

The exam is not impossible to pass. I have helped countless people pass the exam, so I know it can be done. There is hope for everyone because even I passed the exams.

What it does mean though is you must be committed to passing the exam, even if it may require taking parts of the exam more than one time, and studying the materials again and again until you have a firm understanding of the concepts.

Obtaining your CIA® certification helps:

Distinguish you from your peers.
Demonstrate your proficiency with internal staff and external clients.
Develop your knowledge of best practices in the industry.
Demonstrate your proficiency and professionalism.
Lay a foundation for continued improvement and advancement.

But it also mean – more money. That’s right, more money. Compensation studies done by the IIA consistently show that internal auditors with certifications earn more than those without certification.

It is worth whatever investment in time, effort and money it takes to study and pass the exam. Its an investment in you, because you reap the benefits for the rest of your career.

I have a lot of people ask me how they can successfully pass the CIA® exam. The most common things people ask me about are:

What’s the best study materials,
Where they can get more practice questions, and
How they can determine the correct answer for each question.

Unfortunately these are rather superficial questions and most people want to hear a quick and easy answer. What I can tell you from years of experience is the easy answers won’t help you pass a HARD exam.

As I have seen people struggle to pass the exam, it has lead me to think about the best ways to be successful at passing the CIA® exam. I have helped many people successfully pass the exam after they failed multiple times on their own, so I have learned a few things about what helps people successfully pass the CIA® exam.
